Gemeinsamer Nenner der gemeinschaftsrechtlichen Regelungen und des von der Haager Konferenz am 13.12.2002 angenommenen Übereinkommens über das auf bestimmte Rechte in Bezug auf Intermediär-verwahrte Wertpapiere anzuwendende Recht ist die Ablösung der lex cartae sitae durch Anknüpfungen, die das Depotkonto und die darauf verbuchten Rechte in den Mittelpunkt stellen. Ziel der vorliegenden Arbeit ist es, diese Regelungen sowie den auf gemeinschaftsrechtlichen Vorgaben beruhenden § 17a des deutschen Depotgesetzes zu bewerten sowie eine eigene Anknüpfung zu entwickeln. Schwerpunkte der Arbeit sind die Auswirkungen des Europarechts und der Regelungen des HWpÜ auf das deutsche Recht und das Zusammenspiel kollisionsrechtlicher Vorschriften mit dem materiellen Recht.

In Germany giro transfers rely on a property law construction, which in recent years has been the subject of criticism, chiefly because the central requirements of modern deposit law are no longer sufficient, and a departure from property law on account of the various initiatives at integration of deposit law (Haager Securities Agreement, Geneva Securities Agreement, Project Legal Security of the EU) has also become necessary. Ulrich Senga investigates whether these criticisms are justified and which conclusions should be drawn from the lack of reform in German deposit law. This variety is problematic, given that it is possible for an investor to hold securities in a number of different jurisdictions. The paper also examines the proposed UNIDROIT Draft Convention on Substantive Rules regarding Intermediated Securities. The Convention will be discussed at a diplomatic conference to be held in Geneva in September 2008, with the goal of adopting a final text. It considers the Convention on alternative assumptions that the non-Convention law is the law of the United States or the law of Japan. It generally concludes that the functional approach (i.e., result-oriented, as opposed to doctrine- or theory-oriented) adopted by the Convention is successful and appropriate.
